Submissions

• Purpose of the Policy
• This policy is intended to avoid potential misunderstandings or disputes in the future in the event that Headwater Research's products, services, or marketing strategies appear to be similar to ideas or materials submitted to Headwater Research by others.
• No Submissions Accepted
• Headwater Research does not solicit submissions, or accept or consider unsolicited submissions, including without limitation ideas for products, services, features, modifications, enhancements, refinements, technologies, processes, content offerings, promotions, partnerships, strategies, or names, or any related documentation, artwork, computer code, diagrams, or other materials ("Submissions"). Please do not send Headwater Research or any of our affiliates or employees any unsolicited Submissions.
• Terms of Submission
• If, despite our request that you not send us Submissions, you still submit them, then regardless of what your accompanying communication says, the following terms shall apply to your submissions. By sending Submissions to Headwater Research, you agree that:

1. Nothing herein shall be deemed or interpreted to constitute an agreement or acknowledgement by Headwater Research that any such Submissions were not already being independently developed by Headwater Research, or by a third party on Headwater Research's behalf;
2. Submissions are non-confidential, and Headwater Research is not under any obligation to keep Submission you send confidential;
3. You irrevocably grant Headwater Research and its successors and assigns a nonexclusive, worldwide, royalty free, fully paid up, perpetual right and license under all your and your company's intellectual property rights to use, reproduce, modify, distribute, and otherwise exploit Submissions for any purpose and without restriction, including by making, using, selling, importing commercial products and services which incorporate or embody Submissions or modifications thereof in whole or in part, without compensation to you or attribution of any kind;
4. You represent and warrant that you have the right to disclose and authorize use of Submissions as provided for herein;
5. Headwater Research has no obligation to review or consider your Submission, or to return to you all or part of any Submission for any reason; and
6. Headwater Research may transfer or assign this policy and the rights you grant to Headwater Research hereunder without restriction.
